A registered agent is a designated person or business entity that receives official legal documents, state notices, and service of process on behalf of your South Dakota business. Think of your registered agent as your company's official point of contact for important government correspondence and legal matters.
Every LLC, corporation, and similar business entity operating in South Dakota is generally expected to maintain a registered agent with a physical presence in the state. We provide this service for $99 per year—giving you a reliable South Dakota address, professional document handling, and compliance support without the premium pricing many competitors charge.
What Does a Registered Agent Do?
Your registered agent serves several critical functions:
Receives Service of Process If your business is named in a lawsuit, the legal documents will be delivered to your registered agent. This ensures you receive timely notice of legal actions and have the opportunity to respond appropriately.
Accepts Official State Documents The South Dakota Secretary of State sends important notices, tax documents, and compliance reminders to your registered agent address. These might include annual report reminders, certificate updates, or other administrative correspondence.
Maintains Availability During Business Hours Registered agents are expected to be available during normal business hours to accept documents when they arrive. This reliability is part of what makes the system work—the state and courts need to know they can reach your business when necessary.
Provides a Stable Address for Public Records Your registered agent's address appears on your public filings with the South Dakota Secretary of State. This address remains consistent even if you move, work remotely, or change your business operations.
South Dakota Registered Agent Requirements: The Statute
The governing law is SDCL Ch. 59-11, South Dakota's adoption of the Model Registered Agents Act. Appointment works through SDCL 59-11-6, definitions live in SDCL 59-11-2, and the LLC act ties it together by requiring agent details in your formation filing at SDCL 47-34A-203(a)(3).
Under the act, three kinds of appointment satisfy the requirement:
A Commercial Registered Agent An individual or company that has filed a listing statement with the state under SDCL 59-11-7 and provides the service professionally, identified in filings by a CRA number.
A Noncommercial Registered Agent An individual or an entity with a South Dakota address, appointed without any commercial listing on file.
An Office or Position Within Your Company Rather than naming a person, the entity may designate the title of an office (its president, for example) so that whoever currently holds that office receives service of process.
The Address Rule The agent needs an actual street address or a rural route box number in South Dakota. A PO box alone does not qualify. The Secretary of State's change form spells this out by asking for the "Actual Street Address in this State", with a separate mailing address as an optional extra.
Who Needs a Registered Agent in South Dakota?

Order HereIf you operate any of the following business types in South Dakota, you'll generally need to designate a registered agent:
- Limited Liability Companies (LLCs)
- Corporations (C-corps and S-corps)
- Limited Partnerships
- Limited Liability Partnerships
- Other formal business entities registered with the state
Even if your business is formed in another state but operates in South Dakota, you'll typically need a registered agent with a South Dakota address to maintain your foreign qualification.
Can I Be My Own Registered Agent?
Your LLC cannot list itself as its own registered agent. That said, South Dakota leaves the door to self-service open in two practical ways. An owner who is an individual with a South Dakota street address can be appointed as a noncommercial registered agent. And under SDCL 59-11-6(2)(b), the company can designate one of its own office titles to fill the role, meaning the requirement is met by whoever holds that position at the time.
While it's possible to have an officer or employee serve as your registered agent, there are practical drawbacks. Your registered agent's address becomes part of the public record, which means your home address might be exposed if you use a personal residence. Additionally, the agent needs to be available during business hours to receive documents—something that can be challenging if you travel, work variable hours, or simply want privacy.
Benefits of Using a Professional Registered Agent Service
Privacy Protection When you use our service, our address appears on your public state filings instead of your home or personal address. This keeps your private information off the Secretary of State's website and reduces unwanted solicitations.
Reliable Document Handling We receive your documents, scan them the same day they arrive, and forward them to you electronically through our secure online portal. You'll never miss an important notice because someone wasn't available to accept delivery.
Compliance Support We send alerts about South Dakota's annual report deadlines and other state requirements. The annual report fee is $55 when filed online, and missing deadlines can result in penalties or administrative dissolution of your entity.
Flexibility and Stability Our registered office address stays consistent even if you move, change business locations, or work remotely. You won't need to file change forms with the state every time your personal situation changes.
Professional Appearance Using a professional registered agent can enhance your business image. A commercial office address in South Dakota looks more established than a home address in public records.
